Terms of Service.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ABI Studio and related products and services (collectively, the "Services") provided by Analytical Boost, Inc. ("ABI," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

ABI provides retail analytics, reporting, forecasting, and related tools for CPG companies, manufacturers, agencies, and brokers. Specific features, data sources, and service levels are as described in your order form or subscription agreement with ABI.

3. Account Registration

You must provide accurate and complete information when creating an account and keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer or attempt to extract the underlying source code of the Services, except as permitted by law
• Use the Services to build a competing product

5. Intellectual Property

ABI retains all right, title, and interest in and to the Services, including all software, design, and underlying technology. You retain all right, title, and interest in the data you provide to us ("Customer Data"). You grant ABI a limited license to use Customer Data solely to provide and improve the Services for you.

6. Use of Customer Data — Single-Client Basis

ABI accesses certain retailer and distributor data under agreements that require it to act solely for your benefit, and we hold ourselves to that same standard across all of our customer relationships. Specifically:

• We use your Customer Data only to provide the Services to you, not to any other customer
• We do not aggregate, combine, or cross-reference your Customer Data with another customer's data to build a shared or "market-wide" product, benchmark, or insight
• We do not use your Customer Data to develop a product or feature that competes with your business
• Any category or competitive benchmarking we provide (for example, within Planogram) is built from data you are independently authorized to access, not from another customer's restricted data

7. Fees & Payment

Fees for the Services are set out in your order form or subscription agreement. Unless otherwise stated, fees are non-refundable. Late payments may result in suspension of access to the Services.

8. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as permitted under these Terms or a signed agreement between the parties.

9. Warranties & Disclaimers

The Services are provided "as is" and "as available." Except as expressly stated in a signed agreement, ABI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. AI-generated outputs (including Ask ABI, automated insights, and generated dashboards or decks) are provided as a starting point and should be reviewed before being relied upon for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, ABI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Services. ABI's total liability for any claim arising out of these Terms will not exceed the amount you paid to ABI in the twelve months preceding the claim.

11. Termination

Either party may terminate the Services as set out in the applicable subscription agreement. Upon termination, your right to access the Services ends, and data handling will proceed as described in our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
